Terms of Service

Please read these Terms of Service ("Terms") carefully before using TallyTill ("Service"), operated by Software Development Services, LLC ("Company," "we," "us," or "our"). By registering an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Software Development Services, LLC. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.
2. Description of Service
TallyTill is an autonomous point-of-sale platform that uses computer vision and AI to identify products and facilitate checkout. Shopper payments are accepted via card and Cash App Pay — processed through integrated third-party payment providers (such as Stripe) — as well as by cash or check. The Service includes a kiosk application, a merchant admin portal, and supporting cloud services.
3. Eligibility
You must be at least 18 years old and located in the United States to use the Service as a merchant. TallyTill is a business tool and is not intended for personal use or use by minors.
4. Merchant Accounts
To access the full Service you must create a merchant account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your account credentials and notify us immediately of any unauthorized access.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
5. Free Trial and Subscription Fees
The Service is offered under one or more subscription plans, which may include a monthly per-device charge, per-transaction platform fees, product limits, and a free trial of paid features. Current plans, pricing, and any free-trial terms are published at https://tallytill.com and presented when you subscribe; the plan applicable to your account is shown in the merchant portal. Per-transaction fees are billed separately and are not included in any free trial (see Section 6).
Where your plan requires a paid subscription, failure to maintain it after any trial and grace period will result in the Service being locked until a subscription is activated.
6. Payments and Fees
TallyTill facilitates card and Cash App Pay transactions through integrated third-party payment providers (such as Stripe). For those transactions, a platform fee applies in addition to the payment provider's own processing rates. The platform fee depends on your subscription plan; the current fee schedule is published at https://tallytill.com, and the platform fee and provider rates applicable to your account are disclosed in the merchant portal. Per-transaction fees are separate from, and not included in, any free trial. We may update the platform fee prospectively as described in Section 17.
Cash and check payments are handled directly between you and the shopper. You are responsible for configuring accurate payment settings and for reconciling received payments. Except as provided by the payment provider's own terms, TallyTill is not liable for missed, disputed, chargeback, or misdirected payments.
7. Acceptable Use
You agree to use the Service only for lawful commercial purposes. You must not:
- Use the Service to sell illegal goods or services.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Interfere with or disrupt the Service or its servers.
- Use the Service in any way that violates applicable local, state, or federal laws.
- Deploy the Service to collect personal information from minors under 13.
8. Camera, Voice, and AI Use
The Service uses camera hardware you provide and AI-based product identification, and an optional microphone-based voice assistant. You are responsible for ensuring that your use of kiosk cameras and microphones complies with applicable laws, including any requirements to post notices to shoppers about camera or audio monitoring. Camera frames captured for product identification, and voice-assistant transcripts, may be transmitted to our AI service providers for analysis and speech synthesis. You agree to the use of these AI services as part of the core product functionality.
9. Intellectual Property
All rights, title, and interest in the Service, including software, visual design, and documentation, are owned by Software Development Services, LLC or its licensors. These Terms do not grant you any ownership rights. You retain ownership of your product catalog data and business information that you upload to the Service.
10. Product Catalog and Content
You are solely responsible for the accuracy of your product catalog, pricing, and descriptions. You represent that you have the right to sell all products listed and that your product images and content do not infringe third-party intellectual property rights.
11. Privacy
Our collection and use of information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SOFTWARE DEVELOPMENT SERVICES, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI PRODUCT RECOGNITION WILL BE ACCURATE IN ALL CASES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFTWARE DEVELOPMENT SERVICES, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Software Development Services, LLC and its members, officers, and employees from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
15. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your transaction data before termination by using the reports export feature. We have no obligation to retain your data after termination.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Pinellas County, Florida. You consent to personal jurisdiction in those courts.
17. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes via email or a notice within the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
